These Terms of Use (these "Terms") set forth the legally binding terms and conditions for your access to and use of any websites, mobile sites, mobile applications, products, or services (the "Services") offered by Optriq, a brand of Orionwave Private Limited, a company registered under the Companies Act 2013. The "Customer," "you," "your" shall refer to any natural person or entity and its authorized users that subscribes to or uses the Services.

By accessing or using the Site, you are accepting these Terms (on behalf of yourself or the entity that you represent), and you represent and warrant that you have the right, authority, and capacity to enter into these Terms. You may not access or use the Site or accept the Terms if you are under the age of 13. If you do not agree with all of the provisions of these Terms, do not access and/or use the Site.

We may amend these Terms from time to time. Any updates will be posted on this page, and your continued use of the Services constitutes acceptance of the updated Terms.

1. Accounts

Account Creation: To access certain features, you must register an account. You agree to provide accurate, current, and complete information. You may delete your Account at any time. Optriq may suspend or terminate your Account as outlined in Section 8.

Responsibilities: You are responsible for safeguarding your login credentials. You must notify Optriq immediately of any unauthorized use. We are not liable for any losses arising from your failure to protect your account credentials.

2. Optriq as a Platform

Optriq provides an AI-powered operations platform for e-commerce store owners. We are not responsible for user-generated content or third-party interactions. You agree that Optriq acts as a platform and is not liable for the quality, legality, or reliability of third-party content or services.

3. Licenses

Optriq grants you a limited, non-transferable, non-exclusive license to use the Platform under these Terms. You grant Optriq a royalty-free license to use your logo for promotional purposes. You agree not to misuse the Platform or violate any applicable law.

4. Privacy and GDPR Compliance

We encourage you to read our full Privacy Policy to understand how we collect, use, and store your data.

Optriq is committed to protecting your privacy and complies with applicable data protection laws, including the GDPR for users in the European Union.

• We only collect personal data that is necessary for service delivery.
• You may request access to, correction of, or deletion of your personal data at any time.
• You may opt out of communications or withdraw consent for data processing.
• We store data securely, primarily on AWS servers located in India.
• We have appointed a Data Protection Officer (DPO) to oversee GDPR compliance.

5. Proprietary Rights

All content on the Platform is the intellectual property of Optriq or its licensors. You agree not to copy, reverse engineer, or use the Platform to create competing services. Unauthorized use is strictly prohibited.

6. General Representations and Warranties

Both you and Optriq represent that:

• You are legally allowed to enter into this agreement.
• You will not post or promote unlawful, offensive, or harmful content on the Platform.
• Optriq may remove content and terminate accounts that violate these standards.

7. Links

Optriq may contain links to third-party websites. We are not responsible for their content, policies, or data practices. Use them at your own risk.

8. Limitation on Liability

To the extent permitted by law, Optriq shall not be liable for any indirect, incidental, or consequential damages. Our maximum liability shall not exceed USD $50, regardless of the number of claims. Some jurisdictions may not allow such exclusions, so limitations may not apply to you fully.

9. Indemnity

You agree to indemnify and hold harmless Optriq from any claims, liabilities, or costs resulting from your use of the Platform or your violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. All disputes shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, and seated in Bangalore, India.

11. Term and Termination

• These Terms remain effective until you or Optriq terminate your subscription.
• Subscriptions renew automatically unless cancelled before the billing cycle.
• Immediate termination may occur in case of breach of these Terms.

12. Refunds and Payments

If you cancel, future payments will stop, but no refunds will be issued for amounts already paid once the service has commenced.

13. Copyright

All materials on the Platform are protected under copyright and intellectual property laws. Unauthorized reproduction is prohibited.

15. News and Updates

By default, users will receive product updates and promotional emails. You may unsubscribe at any time via the link in the emails.

16. Miscellaneous

• These Terms constitute the entire agreement between you and Optriq.
• Section titles are for convenience and have no legal effect.
• If any provision is deemed invalid, the remaining provisions remain enforceable.
• The Platform is not intended for users under the age of 13.
