1. Agreement
These Terms of Service (“Terms”) govern your use of Roy, the AI Tally Operator, and the Optriq Connector software (collectively, the “Service”) provided by Orionwave Private Limited (“Optriq”, “we”, “us”, “our”), a company incorporated under the laws of India.
By installing the Optriq Connector, pairing your Telegram account, or otherwise using the Service, you (“Customer”, “you”, “your”) agree to be bound by these Terms.
2. Beta Programme
During the beta period:
- The Service is provided free of charge for the duration of the beta (up to 60 days from your activation date)
- The Service is provided “as is” and “as available” without warranty of any kind
- Features may be added, changed, or removed without notice
- The Service may experience downtime, bugs, or unexpected behaviour
- Optriq does not guarantee uptime, accuracy, or availability during the beta period
The beta period exists to test and improve the Service with real-world usage. Your feedback is valuable and helps us build a better product.
Beta participants are not charged. After the beta period ends, you will be notified and offered the option to continue on a paid plan. If you choose not to continue, your access to the Service will end gracefully — no data is deleted without your knowledge.
3. Description of Service
Roy is an AI-powered assistant that communicates with Tally Prime (accounting software) on your Windows computer through the Optriq Connector desktop application. The Service allows you to:
- Query your Tally Prime data via chat messages on Telegram
- Draft and post vouchers (sales, purchase, receipt) in Tally Prime after your approval
- Process vendor bill photos and PDFs for purchase entry creation
- Reconcile bank statements against Tally records
The Service does not replace Tally Prime. Tally Prime must be installed, licensed, and running on your computer for the Service to function. The Optriq Connector communicates with Tally Prime through Tally’s built-in HTTP-XML interface.
4. Your Responsibilities
As a Customer, you agree to:
- Maintain a valid Tally Prime license — Optriq does not provide Tally Prime software
- Review all vouchers before approving — Roy drafts vouchers for your review; you are responsible for verifying accuracy before tapping “Approve”
- Keep your license key confidential — Do not share your Optriq license key with unauthorised persons
- Ensure internet connectivity — The Service requires an internet connection on the computer running the Optriq Connector
- Comply with applicable laws — Including GST regulations, income tax laws, and accounting standards applicable to your business
- Provide accurate information — Including your business name, contact details, and any information entered into the Service
- Not misuse the Service — Including attempting to reverse-engineer, decompile, or tamper with the Service
5. Liability Limitation for Tally Entries
Roy drafts vouchers based on your instructions (typed, spoken, or via forwarded documents). Every draft is presented to you for review with full details (party name, amounts, GST, items) before posting. No voucher is ever posted to Tally without your explicit approval.
Optriq’s liability for errors in Tally entries is limited as follows:
- Optriq is NOT liable for vouchers you reviewed and approved that contain errors
- Optriq is NOT liable for business decisions based on reports or data shown by Roy
- Optriq is NOT liable for GST filing errors, tax shortfalls, or compliance issues arising from the use of the Service
- Optriq IS responsible for ensuring that approved vouchers are posted accurately to Tally as shown in the draft card — i.e., what you approve is what gets posted
- If a technical bug causes a voucher to be posted differently from what was shown in the draft, Optriq will assist in correcting the entry at no cost
In all cases, Optriq’s total liability shall not exceed the fees paid by you in the 3 months preceding the incident, or ₹15,000, whichever is lower.
6. Pricing and Payment
During beta
The Service is free during the beta period. No credit card or payment information is required.
Post-beta (paid plans)
After the beta period, the Service will be offered at the following pricing (subject to change with 30 days’ notice):

- Billing cycle: Monthly, no annual lock-in
- Payment methods: UPI, net banking, credit/debit card (via payment gateway)
- Invoicing: GST-compliant invoice provided for every payment
14-Day Refund Policy
If you are not satisfied with the paid Service, you may cancel within 14 days of your first payment for a full refund. After 14 days, payments are non-refundable but you may cancel at any time to stop future billing. Contact support@optriqai.com to request a refund.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy.
Key commitments:
- Your Tally data never leaves your computer — the Optriq Connector reads from Tally locally; no ledger data is uploaded to our servers
- Chat messages are not stored — they are processed in-memory and discarded after the response is sent
- We do not use your data to train AI models
8. Intellectual Property
- The Service, including Roy, the Optriq Connector, and all associated software, documentation, and branding, is the intellectual property of Orionwave Private Limited
- You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during the term of your subscription
- You may not copy, modify, distribute, sell, or sublicense any part of the Service
- “Roy”, “Optriq”, and the Optriq logo are trademarks of Orionwave Private Limited
9. Service Availability
- We aim for 99.5% uptime during business hours (Monday–Saturday, 9 AM – 7 PM IST), but do not guarantee it, especially during the beta period
- Planned maintenance will be communicated at least 24 hours in advance when possible
- The Service depends on Tally Prime, Telegram, and third-party AI providers — outages in these services may affect Roy’s availability
- We are not liable for downtime caused by your internet connection, power outages, Tally Prime issues, or force majeure events
10. Termination
By you
You may stop using the Service at any time by:
- Uninstalling the Optriq Connector
- Blocking @optriq_roy_bot on Telegram
- Emailing support@optriqai.com to close your account
By Optriq
We may suspend or terminate your access if:
- You violate these Terms
- Your license key is used by unauthorised persons
- You use the Service for illegal purposes
- Your payment is overdue by more than 15 days (post-beta)
Effect of termination
- Your Tally data is unaffected — it remains on your computer
- Local Optriq data (
%AppData%\Optriq\) remains on your computer until you delete it - Your cloud data (license info, Telegram pairing) is deleted within 30 days of account closure
11. Dispute Resolution
Governing Law
These Terms are governed by the laws of India.
Jurisdiction
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India.
Dispute Process
Before filing any legal proceedings, both parties agree to:
- Attempt to resolve the dispute amicably through written communication (email to support@optriqai.com)
- Allow 30 days for resolution from the date of the written complaint
- If unresolved, either party may proceed to the competent courts
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Optriq shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
- Optriq shall not be liable for loss of profits, data, business, or goodwill arising from use of the Service
- Optriq’s total aggregate liability for any claims arising from these Terms shall not exceed the total fees paid by you in the 3 months preceding the event giving rise to the claim, or ₹15,000, whichever is lower
- During the beta period (when no fees are paid), Optriq’s total liability shall not exceed ₹5,000
13. Indemnification
You agree to indemnify and hold harmless Orionwave Private Limited, its founders, employees, and agents from any claims, damages, or expenses arising from:
- Your use of the Service
- Vouchers you approved and posted to Tally
- Your violation of these Terms
- Your violation of applicable laws (including GST, income tax, and Companies Act)
14. Modifications to Terms
We may modify these Terms from time to time. If we make material changes:
- We will notify you by email at least 30 days before the changes take effect
- You may terminate your account if you do not agree with the new Terms
- Continued use of the Service after the effective date constitutes acceptance of the modified Terms
15. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Optriq regarding the Service
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision
- Assignment: You may not assign your rights under these Terms. Optriq may assign its rights in connection with a merger, acquisition, or sale of assets
- Force majeure: Neither party is liable for delays caused by events beyond reasonable control (natural disasters, pandemics, government actions, internet outages, etc.)
